Agreement to Terms

These Terms of Use ("Terms") govern your access to and use of Tee’d Up websites, mobile and web applications, and related services (collectively, the "Service") operated by Tee’d Up Technologies LLC ("Tee’d Up," "we," "us," or "our").

By creating an account, accepting these Terms where presented, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Eligibility and Accounts

You must be able to form a binding contract in your jurisdiction and meet any minimum age required by your app store or local law. You may not use the Service if you are barred from doing so under applicable law.

You are responsible for credentials for your account and for activity under your account. Provide accurate information and keep it reasonably up to date. Notify us promptly at support@teeduptechnologies.com if you suspect unauthorized access.

If you register or administer an account on behalf of a club, partner business, or other organization, you represent that you have authority to bind that organization to these Terms.

Service Description

Tee’d Up provides golf gameplay and scoring tools, club and staff tools, messaging, billing-related access tiers, and optional Tee’d Up Rewards Network features when enabled for your role, club, or deployment.

Features vary by account type, club configuration, platform, and product availability. We may add, change, or remove features over time.

Golfer Accounts

Golfer accounts are for individual players. You are responsible for the accuracy of profile information you provide and for protecting your sign-in credentials.

Club Accounts and Staff Access

Clubs may designate staff with role-based access to club portal tools. Access remains scoped to the authorized club organization.

Club administrators are responsible for staff they authorize and for activity conducted through club accounts within their organization.

Day Passes and Paid Access

Some plans (such as Day Pass) provide time-limited or feature-limited access. Availability, pricing, and included features may vary by platform rules (including mobile storefront policies).

Paid features may be processed by third-party payment providers such as Stripe or platform billing systems. Payment terms also follow those providers and your app store where applicable. Fees, taxes, and refunds are handled as disclosed at purchase. Purchases grant only the access described at checkout.

Tee’d Up Rewards Network and Partner Portal

Businesses may apply to participate in the Tee’d Up Rewards Network. Submitting an application does not create a Partner Portal account and does not guarantee approval.

Approved businesses may receive a private invitation to create or connect Partner Portal access. Tee’d Up controls approved achievement triggers and program rules; partners set reward value, terms, and redemption details within approved parameters.

Program availability, features, and automated issuance may vary by configuration and may roll out gradually. Do not assume rewards are issued automatically unless clearly enabled for your deployment.

Promotional Rewards; No Gambling or Wagering

Rewards offered through clubs or the Rewards Network are promotional perks tied to golf participation or achievements. They are not wagering payouts.

Tee’d Up does not operate gambling, betting, or cash-stake payouts between players through the Service. Optional settlement reminders are informational only; any stakes are arranged privately outside the Service.

Club-Issued and Partner-Issued Offers

Clubs and partners may publish offers, coupons, or rewards through the Service. Those parties set eligibility, fulfillment, redemption rules, and disputes for their offers.

Tee’d Up provides platform tools but is not responsible for third-party products, services, or promotions beyond hosting — verify details with the offering club or partner.

User-Generated Content

You retain ownership of content you submit through the Service, including profile content, images, scorecards, event descriptions, reward descriptions, club marketing copy, partner content, messages, and other uploads.

You represent that you have the rights needed to submit your content and that your content does not violate law or these Terms.

You grant Tee’d Up Technologies LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, resize, crop, format, display, and distribute your content only as reasonably needed to operate, improve, support, and provide Service features you choose to use. You grant sublicensing only to service providers needed to operate the Service.

We may remove content or suspend its use if rights are disputed, content is unlawful, or these Terms are violated. This license does not transfer ownership of your content to Tee’d Up.

Club and Partner Logos

Clubs and partners retain ownership of their logos and branding. By uploading or providing a logo, you represent that you have permission to do so.

You grant Tee’d Up limited permission to host, resize, crop, format, display, and incorporate logos into approved Service features (including club headers, offers, and approved Partner Marketing Kit outputs). Third-party rights remain intact. Do not upload deceptive or infringing marks.

Partner Marketing Kit

Partners retain ownership of logos they upload. Tee’d Up may resize, crop, frame, and include partner logos in approved generated collateral using Tee’d Up-created templates.

Tee’d Up Technologies LLC retains ownership of its original template designs and layout assets. Partners receive limited permission to print and display approved generated materials only for participation in the Tee’d Up Rewards Network as we authorize.

Partners may not remove Tee’d Up branding, resell templates, alter materials deceptively, misrepresent affiliation, or misuse QR codes or kit outputs. We may revoke this permission after suspension or termination where appropriate.

Tee’d Up Intellectual Property

Tee’d Up Technologies LLC owns or licenses its original Service materials, including where applicable: software, source code, user-interface designs, original visual assets, written copy, documentation, Help Center materials, original templates, promotional-material layouts, and Tee’d Up branding — to the extent protected by applicable law.

This does not include third-party marks; club logos; partner logos (except as licensed above); user uploads (except as licensed above); general ideas; golf rules; scoring methods; facts; public-domain concepts; third-party course data; or other third-party materials.

Limited License to Use the Service

We grant you a limited, personal or organization-authorized, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. Except as expressly permitted by law or these Terms, you may not copy, reproduce, distribute, publicly display, modify, create derivative works from, sell, resell, lease, sublicense, or commercially exploit any part of the Service without our prior written consent.

You may not frame or mirror the Service or clone its functionality to build an unauthorized competing product.

Trademark and Brand Usage Restrictions

Tee’d Up names, logos, and branding may be used only as permitted by the Service or our written permission. Do not imply endorsement, affiliation, or registration status where none exists. Do not use our branding in a confusing or misleading way.

Prohibited Uses

You agree not to misuse the Service. Without limitation, you must not: use the Service unlawfully; harass, threaten, or harm others; cheat or manipulate scoring; bypass access controls or billing limits; copy or republish Tee’d Up materials without permission; exploit the Service for unauthorized commercial purposes; commit reward fraud; impersonate others; or falsely claim affiliation with Tee’d Up, a club, or a partner.

Scraping, Bots, Automated Extraction, and Reverse Engineering

You may not scrape, bulk-extract, or use unauthorized bots or automated means to access or collect data from the Service in a way that interferes with its operation or bypasses technical restrictions.

You may not reverse engineer or attempt to extract source code from the Service except where applicable law prohibits this restriction. Nothing in this section limits rights that cannot be waived under applicable law.

Fraudulent Rewards, Redemptions, and Promotional Materials

You may not make fake achievement claims, counterfeit redemptions, use altered or deceptive QR materials, misuse Partner Marketing Kit outputs, or otherwise engage in fraudulent reward activity through or related to the Service.

Feedback and Suggestions

If you voluntarily submit ideas or suggestions, Tee’d Up may evaluate, use, modify, implement, and commercialize them without compensation or obligation to you.

This feedback permission does not transfer ownership of unrelated uploaded content, club logos, or partner logos.

Third-Party Services and Third-Party Content

Third-party marks and content remain the property of their respective owners. Tee’d Up does not grant you rights to third-party marks.

Integrations and third-party services (such as Stripe, Apple, Google, Firebase, Expo, and other providers where used) may be governed by their own terms and privacy policies.

Gameplay, Scoring, and Handicaps

Tee’d Up helps groups track rounds and games for convenience and entertainment. You are responsible for the accuracy of scores and information you enter or confirm, including values imported from scorecard scanning or OCR when you use those features. The Service does not replace official handicap systems, tournament committees, or course rules.

Tournament, Scoring, and Competition Disclaimer

Tee’d Up provides tools to record scores, publish leaderboards, and manage event listings. Clubs, event organizers, and participants remain responsible for official competition administration, scoring validation, handicap determinations, prize distribution, and tie-breaking procedures.

Tee’d Up is not responsible for tournament rulings, scoring disputes, handicap calculations, payouts, or eligibility decisions made by clubs or event organizers. Clubs retain authority to review, correct, or override scores and results within their programs.

Rewards and Promotions

Rewards, offers, coupons, discounts, and promotions are provided by participating clubs and partner businesses or by Tee’d Up where explicitly stated. Availability, redemption rules, and fulfillment are set by the offering party.

Tee’d Up does not guarantee availability, inventory, or honoring of partner offers. Tee’d Up is not responsible for pricing errors, partner refusals, inventory shortages, expired promotions, or disputes arising from partner fulfillment. Participating organizations remain responsible for honoring their own offers.

Messaging and Conduct

In-app messaging is subject to these Terms. Do not send unlawful, infringing, or abusive content. Availability depends on configuration and connectivity.

Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate access for fraud, abuse, IP disputes, violation of these Terms, Partner Portal misuse, revoked Marketing Kit permission, risk to others, or if we discontinue the Service. Provisions that by their nature should survive will survive termination.

Service Availability

We may modify, suspend, or discontinue features to improve security, comply with law, or evolve the product. We do not guarantee uninterrupted or error-free operation.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Golf involves inherent risks; follow course rules and safety guidance.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEE’D UP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO TEE’D UP FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (US $50). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE MINIMUM PERMITTED BY LAW.

Indemnification

To the extent permitted by law, you will indemnify and hold harmless Tee’d Up and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, or your violation of these Terms.

Force Majeure

Neither party will be liable for delays or failures in performance resulting from acts beyond its reasonable control, including natural disasters, acts of government, internet or telecommunications failures, cyber incidents, labor disputes, or third-party service outages. In such events, the affected party will use reasonable efforts to resume performance as soon as practicable.

Governing Law and Venue

These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules that would require applying another jurisdiction’s laws. Subject to applicable consumer protections, you agree that exclusive jurisdiction for disputes lies in the state or federal courts located in Delaware, unless applicable law requires otherwise.

Changes to Terms

We may update these Terms from time to time. We will post the updated version with a revised effective date. Material changes may require re-acceptance where required by law. Continued use after the effective date may constitute acceptance where permitted by law.
